Terms & Conditions

Last updated: January 1, 2025

These Terms and Conditions (“Terms”) govern your use of elevaease.com (the “Site”), operated by Eleva Ease LLC (“Eleva Ease,” “we,” “us,” or “our”). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Use of the Site

You may use the Site for lawful purposes only. You agree not to:

  • Use the Site in any way that violates applicable law
  • Attempt to gain unauthorized access to the Site, its servers, or connected systems
  • Introduce viruses, malware, or other harmful code
  • Scrape, copy, or collect content or data from the Site by automated means without our written permission
  • Submit false, misleading, or spam information through our forms

2. Services

The Site describes the marketing, website design, and consulting services we offer. Information on the Site is for general purposes and is not an offer or a binding agreement. Any services we provide are governed by a separate written agreement or proposal signed by you and Eleva Ease. If that agreement conflicts with these Terms, the agreement controls.

Consulting services. Our consulting services consist of recommendations, strategies, and guidance based on the information you provide and our professional judgment. You are solely responsible for deciding whether and how to implement any recommendation, and for the results of those decisions. Eleva Ease does not control your business operations, staff, budget, market conditions, or third-party platforms, and is not responsible for outcomes that depend on how, when, or whether you act on our advice.

No guaranteed results. We do not guarantee any specific outcome, such as revenue, sales, leads, traffic, search rankings, or return on investment. Past results for other clients do not predict your results.

Platforms and algorithms. Social media networks, search engines, advertising platforms, and other third-party services are owned and controlled by others. They can change their algorithms, features, policies, pricing, reach, or account rules at any time, restrict or suspend accounts, or shut down entirely, often without notice. Eleva Ease stays up to date on platform changes and best practices and adjusts its approach as platforms change, but has no control over these platforms and is not responsible for any loss of reach, engagement, rankings, followers, content, data, or revenue caused by their changes, outages, or decisions, or by a platform ceasing to exist.

Not professional advice. Our consulting is limited to marketing and business strategy. It is not legal, tax, accounting, financial, or investment advice. You should consult a qualified professional before making decisions in those areas, including whether your marketing complies with laws that apply to your business.

Independent contractor. Eleva Ease, its owner, and its team members and subcontractors are independent contractors, not employees, agents, partners, or joint venturers of any client. Eleva Ease controls how, when, and where its work is performed and is responsible for its own taxes, insurance, and equipment. Nothing in these Terms or any client relationship creates an employment relationship, and Eleva Ease cannot bind a client to any obligation without the client’s written approval.

Out-of-scope work. Work outside the agreed scope, such as extra revisions, new pages, or added features, will be quoted separately or billed hourly. Contact us at info@elevaease.com for current pricing.

Client-provided content. You are responsible for all content you provide to us, including text, photos, logos, videos, music, and claims about your products or services. You confirm that you own or have permission to use that content and that it does not violate anyone’s rights or any law. You are responsible for reviewing content before approving it and for the accuracy of approved content. You agree to indemnify Eleva Ease against claims arising from content you provide or approve.

Account access and security. You own your accounts, including your website, domain, social media, email, and advertising accounts. You agree to provide the access we need and to tell us promptly about any password or two-factor authentication changes. We use your logins only to perform our services. Eleva Ease is not responsible for security breaches, lockouts, or data loss caused by you, your team, or a third-party platform.

Domains, hosting, and subscriptions. Unless agreed otherwise in writing, you pay for and maintain your domain, hosting, plugins, apps, and other subscriptions, which stay in your name. Ownership of a completed website transfers to you after final payment, except for Eleva Ease Materials described in Section 5.

Accessibility. Eleva Ease aims to follow commonly accepted accessibility practices when building websites, but does not guarantee that any website meets every accessibility standard, including the Americans with Disabilities Act (ADA) or the Web Content Accessibility Guidelines (WCAG). Content and changes added after delivery can affect accessibility. You are responsible for your website’s ongoing legal compliance, including accessibility.

Non-solicitation. While we work together and for twelve (12) months afterward, you agree not to directly hire or contract with any Eleva Ease employee, contractor, or subcontractor who worked on your account without Eleva Ease’s written consent.

3. Payments and Fees

These terms apply to client services unless a signed agreement says otherwise.

  • Due dates. Invoices are due on the date shown on the invoice.
  • Late fee. If an invoice is not paid within seven (7) days of its due date, a $25 late fee will be added to the next month’s invoice.
  • Paused services. If an invoice is more than ten (10) days past due, Eleva Ease may pause services until that month’s balance is paid in full. Pausing services does not end your obligation to pay, and project timelines will be extended by the length of the pause.
  • Card on file. Websites and other services paid in installments require a valid card on file. You authorize Eleva Ease to charge that card for scheduled payments and agree to keep your card information current.
  • Failed payments. Each failed or declined payment adds a $15 fee to the next month’s invoice.
  • Non-refundable fees. Fees for services already performed are non-refundable.
  • Billing concerns. If you have a billing concern, contact us at info@elevaease.com before disputing a charge with your bank or card issuer so we can resolve it.
  • Discounts and promotions. Discounts, promotions, and special offers, such as Chamber of Commerce or Better Business Bureau member discounts, cannot be combined or stacked with any other discount or offer. Each discount is subject to its own terms and conditions, applies only to the services and time period stated, and cannot be applied retroactively or exchanged for cash or credit. Eleva Ease may change or end any promotion at any time, but changes will not affect discounts already agreed to in writing. Referral rewards are not discounts and are not limited by this rule.
  • Referral program. Current clients who refer a new client to Eleva Ease receive a one-time reward of up to $50, applied as a credit to their next invoice. The referral reward is earned once the referred client signs an agreement and pays their first invoice. The referring client’s account must be in good standing, and the reward has no cash value and cannot be transferred.

4. Built To Grow Program

Built To Grow is a group program delivered through live Zoom sessions and downloadable materials. By purchasing or registering, you agree to these terms.

  • No refunds. All Built To Grow purchases are final and non-refundable, including program fees and downloadable materials.
  • Live session content. Live sessions are interactive, and their content depends largely on how many people attend and the questions they bring. Session length, topics, and depth may vary, and these variations are not grounds for a refund.
  • Missed sessions. No refunds or credits are given for sessions you miss.
  • Schedule changes. Eleva Ease may reschedule sessions or change the format, platform, or materials when needed, with reasonable notice.
  • Use of materials. Downloads and program materials are for your own business use only. You may not share, resell, or redistribute them, or share your access with others.
  • Recordings. If a session is recorded, we will tell participants at the start. Staying in a recorded session means you consent to being recorded.
  • Conduct. Participants are expected to be respectful. Eleva Ease may remove anyone who disrupts sessions, harasses others, or promotes their own business without permission, without a refund.
  • Confidentiality. Please do not share other participants’ personal or business details discussed in sessions. Eleva Ease is not responsible for what other participants share or do.
  • Results. Built To Grow provides education and guidance. Results depend on your own effort and implementation, and no specific outcome is guaranteed.
  • Eligibility. Participants must be at least 18 years old.
  • Technology. You are responsible for your own internet connection, device, and Zoom access. Technical problems on your end are not grounds for a refund.

5. Intellectual Property

All content on the Site, including text, graphics, logos, designs, images, and code, is owned by Eleva Ease or its licensors and is protected by copyright and trademark laws. You may not copy, reproduce, distribute, or create derivative works from Site content without our prior written permission.

We list current and past clients on the Site and may display work created for them in our portfolio. That work may belong to our clients and may not be copied or reused.

All templates, frameworks, processes, prompts, and other tools we use to create content and websites (“Eleva Ease Materials”) are the exclusive property of Eleva Ease. Unless a signed agreement says otherwise, delivering a finished project does not transfer ownership of Eleva Ease Materials, and we may continue to use them for other clients.

6. Information You Submit

When you submit information through the Site, such as a contact form, you confirm it is accurate and that you have the right to share it. Our handling of personal information is described in our Privacy Policy.

7. Third-Party Links

The Site may link to third-party websites or services. We do not control and are not responsible for their content, policies, or practices. Visiting them is at your own risk.

8. Use of Artificial Intelligence

We use artificial intelligence (AI) tools to assist with research, writing, design, and other parts of our work. Our team reviews AI-assisted content before it is published or delivered. AI tools can make mistakes, so content on the Site, including AI-assisted content, is for general information only and should not be relied on as professional, legal, or financial advice. We do not enter clients’ personal information or business information into AI tools or large language models (LLMs).

9. Vendors and Third-Party Partners

We work with third-party vendors and partners, such as hosting, software, advertising, payment, and AI providers, to operate the Site and deliver our services. These third parties operate under their own terms and privacy policies. We are not responsible for their acts, omissions, outages, security incidents, or changes to their products, pricing, or policies.

10. Disclaimer of Warranties

The Site and its content are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Site will be uninterrupted, error-free, or secure. Any examples of results, such as traffic, leads, or sales, are illustrative and do not guarantee similar results for your business.

11. Limitation of Liability

To the fullest extent permitted by law, Eleva Ease and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of or inability to use the Site. Our total liability for any claim related to the Site will not exceed one hundred U.S. dollars ($100).

12. Indemnification

You agree to indemnify and hold harmless Eleva Ease and its owners, employees, and contractors from any claims, damages, losses, and expenses, including reasonable attorneys’ fees, arising from your misuse of the Site or your violation of these Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Site will be brought exclusively in the state or federal courts located in Larimer County, Colorado, and you consent to their jurisdiction.

Before filing a lawsuit, the party with a dispute must send the other party written notice describing it, and both parties will try in good faith to resolve it for thirty (30) days, including through mediation if both agree. Any claim related to the Site or our services must be brought within one (1) year after it arises, or it is permanently barred. In any lawsuit related to these Terms or our services, the prevailing party may recover its reasonable attorneys’ fees and costs.

14. Changes to These Terms

We may update these Terms at any time. Changes take effect when posted, and the “Last updated” date will reflect the latest version. Continued use of the Site means you accept the updated Terms.

15. Force Majeure

Eleva Ease is not responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, severe weather, fire, flood, pandemics, government actions, war, civil unrest, power or internet outages, and third-party platform outages. For client services, the force majeure terms in the signed agreement apply.

16. Severability and General Terms

If any part of these Terms is found unenforceable, the remaining parts stay in full effect.

Entire agreement. These Terms, together with any signed agreement between you and Eleva Ease, are the entire agreement about their subject matter.

No waiver. If we do not enforce part of these Terms, we keep the right to enforce it later.

Assignment. You may not transfer your rights under these Terms without our written consent. We may transfer ours as part of a sale or restructuring of our business.

Electronic communications. We may communicate with you electronically, and electronic notices, agreements, and signatures satisfy any requirement that they be in writing.
